What is the difference between the 200 and the 205 contracts? What does the 200 have that the 205 does not?
The 205 covers all the essential terms of a commercial project but is generally used for smaller projects. The 200 is more detailed, and addresses certain scenarios that the 205 doesn’t have. By way of example, both have a limited waiver of consequential damages, but the 200 goes into greater detail about the interplay of liquidated damages with this provision and certain options that an owner may want to carve out based upon substantial completion or final completion. The 205 makes no mention of liquidated damages.

What security protection controls do you have in place for your platform?
ConsensusDocs is Software-as-a-Service (SaaS) solution employing top-of-the-line security. We adhere to security best practices during all the development stages, and we regularly evaluate our systems through a combination of manual and automated testing, including regression and AI-assisted checks performed by both in-house and external professionals.
ConsensusDocs is in constant evolution and the development and updating schedule reflects this. Major updates follow our internal roadmap, while minor updates are rolled out monthly. If a critical security update is required, the update cycle is adapted accordingly.
Our site is protected by Cloudflare’s enterprise-level firewall and includes free DDoS protection. It enforces two-factor authentication for administrators, IP Geolocation blocking, and automatically bans IPs that have multiple failed login attempts in a minute. Strong passwords are enforced. We only use encrypted connections for all traffic, regardless of protocol, and enforce TLS 1.2. We perform regular security reviews through both internal and third-party experts.
All our payments are processed via a third-party provider to ensure PCI compliance. All our sites are hosted in LXC Linux containers.

Where do I find Exhibits referred to in various sections of the ConsensusDocs documents?
ConsensusDocs does occasionally include model standard exhibits that will appear after the end of the contract agreement. However, since most exhibits are largely project-specific information, users are directed to create their exhibits, and some rudimentary guidance is included in hidden text instructions that are embedded in ConsensusDocs documents that can be turned on by hitting the ¶ in Microsoft Word.

Which portions of the ConsensusDocs contracts can be modified?
All portions of the contracts can be modified, except the footer. You can omit or add paragraphs, edit, and delete text via MS Word®. When you return to your ConsensusDocs Dashboard at www.consensusdocs.org and “finalize” your contract, the “DRAFT” watermark will be removed and a unique document security code will be added to the footer, providing you with a clean copy for signatures.
Why don’t short-form contracts say Article in the article heading but only include the number?
For brevity, short headings do not explicitly say Article 1 for instance but are referenced as an article within the document when appropriate. When referencing a section like 5.2 the term section is used to reference a location. All headings and section references are used for convenience purposes for purposes of contract interpretation.
Why is industry collaboration between owners, designers, and contractors so important?
There is growing frustration in the industry that parties, owners, in particular, are presented with heavily modified standard form documents that hardly resemble the original text. Parties often perceive standard documents drafted ultimately by a singular organization as protective of that organization. The ConsensusDocs drafting process was similar to negotiations for a specific project contract. Parties with different viewpoints who have a large stake in the project outcome each had a vote before the contract is “signed off.” Moreover, there is synergy and broad and deep knowledge gained from varying viewpoints. The contracts address cutting-edge issues, like Integrated Project Delivery (IPD), Building Information Modeling (BIM), and electronic communication between the parties. Finally, the documents encourage direct communication among all parties while aligning the parties’ interests with the project’s best interest.
Why is my ConsensusDocs Microsoft Word document password protected?
ConsensusDocs documents are password protected for copyright purposes, you can still edit everything within the contract except for the footer. We do not provide our users with a password, if you need further help making edits, please contact our support.

Yes, all current subscribers will receive access to all new and updated contracts within their subscription package at no extra charge. Notifications about contract updates can be found in the “Announcements” section of your account dashboard.
