Striking Successful Agreements with Subcontractors

Stakes run high in the construction industry, but tensions between contractors and subcontractors don’t have to. With carefully crafted construction contracts in place, contractors and subcontractors can rely on formally agreed-upon terms when complications or disagreements arise.

Disputes in construction can arise over deadlines, performance guarantees, or deviations from the original contract terms. And it’s estimated that one in four construction projects has a claim. So no matter how large or small the services rendered, no matter the size of the project, an effective construction document, like ConsensusDocs’ 751 Short Form Agreement Between Constructor and Subcontractor, can save a tremendous amount of money, time, and frustration.

What is the Short Form Agreement?

ConsensusDocs’ Short Form Agreement Between Constructor and Subcontractor, our most used standard contract document, establishes the contractual relationship between general contractors, builders, design-builders, or construction managers and subcontractors, and is compatible with our prime construction contract agreements. The Short Form Agreement is also flexible enough to work with other standard contracts and conveniently combines general terms and conditions and construction agreement terms into one document.

For maximum protection, these construction documents address the responsibilities of both parties and list their respective obligations. They address project scope, deadlines, and payment schedules. The 751 Short Form Agreement also includes critical construction law issues like:

  • Subcontractor price
  • Indemnification (compensation for harm or loss)
  • Insurance and bond (for protection and risk reduction)
  • Termination (circumstances under which a contract can be terminated)
  • Dispute resolution and mitigation

The payment included in these standard contracts between constructors and subcontractors is pay-when-paid (no subcontractor is paid until the owner pays the contractor first). The quick payment requirements are compatible with most if not all prompt payment and anti-indemnification requirements in states that have prompt payment and anti-indemnity law.

Short Form vs. Long Form

The most consistent complaint about construction contracts is that they are too long. Contractors want them to fit in one or two pages. Getting all the adequate terms in a construction contract that length is almost impossible – but not for ConsensusDocs.

We write our short forms to appropriately address all the major terms needed for a commercial construction contract while still keeping it short and easy to use. The main portion of the ConsensusDocs 751 Short Form Subcontract is only eight pages. For projects that are on the smaller side, consider using the ConsensusDocs 751 Short Form Subcontract. For all other projects, a long-form version of this agreement is available.
